How to Open a Company in Azerbaijan?

Step 1. Choosing the type and name of the company.

There are several options:

1. OJSC/CJSC. Suitable if you are planning a large project with several investors.

2. Branch or Representative Office of a foreign company.

3. LLC. The most common type of company. Suitable for any field of activity, both small and medium-sized businesses.

4. Individual entrepreneuship. The simplest way to start a business since it does not require large investments.

It’s also important to choose the right name. When choosing a name, make sure it isn’t complicated, suits the field of your company, and most importantly - is unique. This can be checked on the website of the Tax Service of Azerbaijan. However, if you aren’t sure about the name, this isn’t a reason to delay starting your business, since it can be changed later.

Step 2. Preparing the documents.

The registration procedure is almost the same for Azerbaijani citizens and foreigners. The required documents include:

- Copies of the founders’ and director’s passports;

- Resolution of the founders to establish the company;

- Company charter;

- Application form;

- Document confirming the legal address (which, like the name, can be changed after registration);

- Receipt of state fee payment (15 AZN (≈ 9 USD) for LLC registration or 300 AZN (≈ 177 USD) for branch or representative office registration, sole proprietorship registration is free).

Documents must be submitted to the State Tax Service of the Republic of Azerbaijan.

Step 3. Submission of documents for registration.

Company registration is carried out under the “one-stop” principle at the Tax Service, ASAN centers, or online. Business registration takes 2 working days, and upon approval, the Tax Service issues a registration certificate with a unique tax ID.

Step 4. Opening a bank account.

It may seem that having a registration certificate means the process is complete - but not quite. You also need to open a bank account in one of the local banks.

Taxes in Azerbaijan.

When it comes to taxes, even the most experienced entrepreneurs start to feel stressed. Here we will cover the most important ones.

1. Corporate Profit Tax. Calculated from “net profit” with a rate of 20%.

2. Personal Income Tax. In the private sector (except for the oil and gas industry), salaries up to 8,000 AZN (≈4,706 USD) are exempt from income tax. If the salary exceeds 8,000 AZN, the tax rate is 14% on the excess amount (valid until January 1, 2026).

However, Azerbaijan, as a country that encourages business development, provides various tax benefits. These are granted to:

1. Companies working in IT, innovation, or manufacturing industries.

2. Residents of industrial and techno parks. These companies are exempt from income tax, corporate profit tax, property tax, land tax, and dividend tax for 10 years from the registration date.

3. Companies registered in a Free Economic Zones. These companies are exempt from profit tax, VAT, customs duties on imported equipment and raw materials, property tax, and land tax.
